Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the VisualHFT desktop application, website, marketplace, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

For licensing terms specific to the desktop software, please also review our End-User License Agreement (EULA). For information about how we handle personal data, see our Privacy Policy.

1. Definitions

  • "VisualHFT" or "we/us" refers to VisualHFT LLC, a Florida-registered limited liability company.
  • "User" or "you" refers to any individual or entity accessing the Service.
  • "Software" refers to the VisualHFT desktop application, including all plugins, studies, and components.
  • "Marketplace" refers to the VisualHFT plugin and add-on marketplace where users can acquire additional connectors, analytics packs, and modules.
  • "Derived Data" refers to studies, indicators, analytics, or other outputs computed by the Software using market data you provide.
  • "Subscription" refers to your selected plan (Community, CORE, PRO, or Enterprise) and any optional Marketplace add-ons.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization.

3. Account Registration and Security

  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized access to your account.
  • Each license is tied to a single user and device unless your Subscription plan permits otherwise.

4. Subscription Plans and Payment

4.1 Plans

VisualHFT offers tiered subscription plans — Community (free), CORE (L2), PRO (L3), and Enterprise — each with distinct features, plugin access, data depth levels, and support tiers. Full plan details are available on our Pricing page.

4.2 Billing

  • Paid Subscriptions are billed monthly or annually, as selected at checkout.
  • All fees are quoted in USD and are non-refundable except as described in Section 4.4.
  • We reserve the right to update pricing with 30 days' prior notice. Active subscriptions will not be affected until the next renewal cycle.

4.3 Marketplace Add-ons

  • Optional add-ons (e.g., Market Aggregator, Liquidity Analytics) are billed separately and follow the same billing cycle as your primary Subscription.
  • Enterprise customers may receive bundled discounts as outlined in their plan.

4.4 Refunds

  • If you are unsatisfied within the first 14 days of a new paid Subscription, you may request a full refund by contacting support@visualhft.com.
  • Refunds do not apply to renewals, Marketplace add-on purchases, or partial billing periods.

5. Third-Party Market Data and Connections

5.1 Your Responsibility

VisualHFT connects to third-party data providers (exchanges, APIs, data vendors) through plugins and connectors that you configure. You are solely responsible for:

  • Holding and maintaining valid subscriptions or API keys with those providers.
  • Complying with all applicable terms, fees, and usage restrictions imposed by those providers.

5.2 We Are Not a Data Vendor

VisualHFT does not supply, resell, or mark up market data fees. We provide the analytics layer; you bring your own data connections.

5.3 No Liability for Third-Party Services

We have no responsibility for disputes, outages, data quality issues, or fee changes imposed by any third-party data provider.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulation (including securities, market abuse, and export control laws).
  • Redistribute, sublicense, sell, or otherwise provide any portion of the Software, its output, or Derived Data to any third party without proper authorization.
  • Attempt to reverse-engineer, decompile, or disassemble the Software, except as permitted by applicable law.
  • Bypass, disable, or tamper with any licensing, entitlement, watermarking, or security features.
  • Use automated tools (bots, scrapers) to access the Service in ways that exceed normal usage patterns.
  • Misrepresent your identity, affiliation, or the nature of your use.

7. Derived Data and Intellectual Property

7.1 Your Derived Data

You may compute studies, indicators, and analytics ("Derived Data") locally for your own internal use. Redistribution of Derived Data outside your licensed organization requires separate permission from the underlying data provider(s).

7.2 Our Intellectual Property

All rights, title, and interest in the Software, Marketplace content, documentation, branding, and proprietary analytics methods remain with VisualHFT. Nothing in these Terms transfers ownership of any intellectual property to you.

7.3 Open-Source Components

Certain portions of VisualHFT are available under open-source licenses. Use of those components is governed by their respective license terms. The commercial features, plugins, and proprietary analytics are not open-source and are subject to these Terms and the EULA.

8. Marketplace and Plugin Ecosystem

8.1 First-Party Plugins

Plugins developed by VisualHFT and included in your Subscription are covered under these Terms.

8.2 Third-Party and Community Plugins

The Marketplace may include plugins developed by third parties. While we review submissions, we do not guarantee the accuracy, security, or performance of third-party plugins. Use them at your own risk.

8.3 Plugin Development (PRO and above)

PRO and Enterprise users may develop and distribute their own plugins through the Marketplace under our SDK license. Plugin developers must comply with our Marketplace Developer Guidelines (published separately).

9. Data Processing and Privacy

  • VisualHFT processes market data locally on your machine. We do not ingest your trading, order flow, or market data streams into our servers during normal operation.
  • For personal data we may collect (account information, diagnostics, support interactions), please refer to our Privacy Policy.

10. Compliance and Audit

  • You agree to comply with all applicable laws and third-party license terms when using the Service.
  • Upon reasonable notice, we may audit your use of the Software (including logs of export or data-connection events) to verify compliance with these Terms and the EULA. You agree to cooperate with any such audit.

11. Service Availability and Modifications

  • We aim to provide reliable access to the Service but do not guarantee uninterrupted availability. Maintenance, updates, and unforeseen issues may result in temporary downtime.
  • We reserve the right to modify, update, or discontinue features of the Service at any time. Material changes will be communicated with reasonable notice.
  • Features labeled as "Coming Soon" or "In Beta" on our website or within the Software are subject to change and are not guaranteed to be released.

12. Disclaimer of Warranties

The Service is provided "as-is" and "as-available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Merchantability, fitness for a particular purpose, and non-infringement.
  • Accuracy, reliability, or completeness of any analytics, metrics, or outputs generated by the Software.
  • Uninterrupted, error-free, or secure operation.

VisualHFT is an analytics and monitoring tool, not a trading system. We do not provide investment advice, and no output of the Software should be construed as a recommendation to buy, sell, or hold any financial instrument.

13. Limitation of Liability

To the maximum extent permitted by law, VisualHFT and its officers, directors, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, data, business opportunities, or trading losses.
  • Damages arising from reliance on any analytics, metrics, or outputs of the Software.

Our total aggregate liability under these Terms shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless VisualHFT from any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from:

  • Your use or misuse of the Service.
  • Your breach of these Terms or any applicable law.
  • Your violation of any third-party rights, including data provider agreements.

15. Termination

15.1 By You

You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds will be issued for partial periods.

15.2 By Us

We may suspend or terminate your access if you breach these Terms. In the event of termination for cause, no refund will be provided.

15.3 Effect of Termination

Upon termination, you must cease all use of the Software and delete all copies. Sections that by their nature should survive (including Sections 7, 12, 13, 14, and 16) will continue to apply.

16. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.
  • Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association, held in Miami, Florida.
  • Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

17. General Provisions

  • Entire Agreement: These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between you and VisualHFT.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
  • Notices: We may send notices via email or in-product notifications. You may contact us at legal@visualhft.com.
